1. Agreement and Eligibility
These Terms govern access to and use of the Seamless Finance platform, APIs, dashboard, website, applications, and related services by your organization and authorized users. By registering, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You represent and warrant that:
- You have authority to bind your organization and are legally permitted to use the Services.
- Your use complies with all applicable laws, licensing requirements, tax obligations, and consumer-protection rules.
- You are not located in a prohibited jurisdiction or listed on any sanctions or restricted-party list.
- All information you provide is accurate, complete, and current.
We may refuse, suspend, restrict, or discontinue Services where required by law, partner rules, internal risk policy, fraud-prevention measures, or compliance obligations.
2. Nature of the Services
Seamless provides technology infrastructure and business-payment orchestration, including payment routing, multi-currency settlement, stablecoin infrastructure, crypto invoicing, wallet integrations, treasury tooling, payout services, and API and dashboard access.
Availability depends on jurisdiction, verification level, corridor and partner availability, liquidity conditions, regulatory requirements, and internal risk review. We may modify, restrict, suspend, or discontinue features at any time.
3. Third-Party Services
Many features rely on independent providers (“Partners”). When you use a Partner-enabled Service, you may enter into a direct relationship with that Partner. Its terms, privacy policy, acceptable-use rules, disclosures, fees, and compliance requirements apply in addition to these Terms.
Partners operate independently. Seamless is not responsible for partner outages, pricing changes, delays, compliance decisions, or operational failures. Partner terms may change without notice from Seamless.
4. Partner Terms and Disclosures
Depending on the currency, jurisdiction, corridor, and transaction flow, the Services may integrate with one or more of the following providers. Review the latest applicable provider documentation before using a Partner-enabled feature.
Providers may be added, removed, or changed as integrations and corridor availability evolve.
5. Cross-Chain Swaps and Aggregation
Token swaps, bridge transfers, liquidity routing, and cross-chain settlement may be facilitated through third-party routing and liquidity providers.
- Smart contracts, bridges, validators, or routing protocols may fail.
- Slippage, pricing fluctuations, network fees, and settlement delays may occur.
- Liquidity and quoted output may change before execution.
- Blockchain confirmations and settlement timing are not guaranteed.
Seamless does not guarantee execution, pricing, liquidity availability, or settlement timing.
6. Wallets, Custody, and Keys
Non-custodial and partner-issued wallet models may be offered.
- You remain responsible for wallet security, backups, seed phrases, device access, and address accuracy.
- Blockchain transfers may be irreversible.
- Lost keys or transfers to incorrect addresses may result in permanent asset loss.
- Digital assets involve smart-contract, protocol, cybersecurity, congestion, depegging, and gas-price risks.
7. Identity, KYB/KYC, and Compliance
Seamless and its Partners may require KYB, KYC, sanctions screening, transaction monitoring, source-of-funds checks, enhanced due diligence, fraud reviews, and risk assessments.
You must provide accurate information, cooperate with reviews, promptly submit requested documents, and notify us of material changes to ownership or operations.
Transactions or accounts may be delayed, rejected, restricted, frozen, suspended, or terminated where compliance, fraud, legal, sanctions, security, or operational concerns arise.
8. Transactions, Orders, and Settlement
Transactions may include stablecoin payments, fiat payouts, treasury transfers, wallet settlements, swaps, cross-chain transfers, and merchant-invoice payments.
- Settlement timing is not guaranteed and quotes may change before settlement.
- Compliance reviews, banks, liquidity conditions, or blockchain congestion may cause delays.
- You are solely responsible for blockchain addresses, banking details, beneficiaries, and payout instructions.
- Incorrect details may result in failed, delayed, or permanently lost transfers.
9. Fees, FX, and Taxes
Fees may include platform fees, banking charges, network or gas fees, liquidity-provider fees, swap fees, FX spreads, card-processing fees, and pass-through partner costs.
Quotes may be estimates. Final amounts can change because of volatility, slippage, liquidity, banking delays, blockchain congestion, and partner pricing adjustments.
You are responsible for all applicable taxes, duties, reporting requirements, and regulatory filings in your jurisdictions.
10. Data Protection and Privacy
Personal and business data may be processed by Seamless and Partner systems for transaction processing, compliance reviews, fraud prevention, risk management, regulatory reporting, and operational support.
Data may be shared with payment processors, banking providers, compliance vendors, verification services, blockchain analytics providers, fraud-prevention vendors, and settlement infrastructure providers. Our Privacy Policy and applicable Partner policies apply.
11. Prohibited Activities
You may not use the Services for:
- Money laundering, terrorist financing, fraud, sanctions evasion, or illegal gambling.
- Unauthorized securities activity or circumvention of compliance controls.
- Unauthorized access, vulnerability exploitation, malware, or deceptive conduct.
- Misrepresentation of identity, ownership, source of funds, or transaction purpose.
12. Intellectual Property
All software, APIs, documentation, trademarks, branding, designs, content, and platform materials are owned by or licensed to Seamless. Except where expressly permitted, you may not copy, reproduce, distribute, reverse engineer, modify, or create derivative works from the Services. No ownership rights are transferred to you.
13. Disclaimers and Risk
Digital assets and payment infrastructure involve substantial risks, including volatility, smart-contract failure, regulatory change, stablecoin depegging, liquidity shortages, protocol exploits, banking disruption, cyber incidents, and settlement delay.
14. Limitation of Liability
To the maximum extent permitted by law, Seamless is not liable for indirect, consequential, special, or punitive damages; loss of profits, revenue, data, or digital assets; business interruption; delayed settlement; partner, banking, blockchain, or smart-contract failures; regulatory actions; or third-party interruptions.
Where permitted, liability is limited to direct damages and the fees paid by you to Seamless during the twelve months preceding the claim. Some jurisdictions may not permit every limitation in this section.
15. Suspension and Termination
We may suspend, restrict, or terminate access for violations, compliance concerns, fraud, security or operational risks, sanctions concerns, regulatory obligations, or Partner requests. Termination does not affect obligations, fees, or liabilities accrued before termination.
16. Force Majeure
Seamless is not liable for delay or failure caused by events beyond reasonable control, including blockchain or banking outages, cyberattacks, internet or infrastructure failure, regulatory or sanctions events, natural disaster, war, civil unrest, labor disputes, or liquidity shortages.
17. Changes to These Terms
We may update these Terms. Material changes may require renewed acceptance through the platform or dashboard. Continued use after an update becomes effective may constitute acceptance. Archived versions may be retained for compliance and recordkeeping.
18. Governing Requirements
Your use remains subject to all applicable laws, regulations, Partner requirements, and any additional written agreement between you and Seamless. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
