These Terms and Conditions ("Terms") govern access to and use of the Seamless Finance platform, APIs, dashboard, website, applications, and related services ("Services") by your organization and authorized users ("you", "your", or "User"). By registering, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms are a merchant-facing disclosure template and do not constitute legal advice. You should have qualified legal counsel review and adapt these Terms for your entity, jurisdictions, regulatory obligations, and product scope before production use.

1. Agreement and Eligibility

You represent and warrant that:

  • You have authority to bind your organization.
  • You are legally permitted to use the Services.
  • Your use of the Services complies with all applicable laws and regulations.
  • You are not located in or operating from sanctioned or prohibited jurisdictions.
  • You are not listed on sanctions or restricted-party lists.
  • All information provided by you is accurate, complete, and current.

You must comply with all laws applicable to your use of the Services, including:

  • Anti-money laundering ("AML") laws
  • Counter-terrorist financing ("CTF") laws
  • Sanctions regulations
  • Licensing and registration requirements
  • Tax and reporting obligations
  • Consumer protection rules

We may refuse, suspend, restrict, or discontinue Services where required by law, Partner rules, internal risk policy, fraud prevention measures, or compliance obligations.

2. Nature of the Services

Seamless Finance provides technology infrastructure and business payment orchestration services, including:

  • Payment routing
  • Stablecoin infrastructure
  • Crypto invoicing
  • Wallet integrations
  • Fiat and crypto settlement orchestration
  • Real-time payment services
  • RWA tokenization infrastructure
  • Embedded finance and PayFi solutions
  • Treasury and payout tooling
  • API and dashboard access
  • Multi-chain payment routing

Seamless Finance may also provide invoicing metadata, routing-related information, treasury tooling, and integrations with third-party providers that execute fiat, crypto, wallet, swap, settlement, compliance, or related services.

Seamless Finance does not provide legal, tax, accounting, investment, or regulatory advice and does not replace your own compliance obligations.

Availability of Services may depend on:

  • Jurisdiction
  • Configuration
  • Verification level
  • Corridor availability
  • Partner availability
  • Liquidity conditions
  • Regulatory requirements
  • Internal risk review

We may modify, suspend, restrict, or discontinue features at any time.

3. Third-Party Services and Incorporation by Reference

Many features rely on independent third-party providers ("Partners").

When you use Partner-enabled Services:

  • You may enter into a direct relationship with the applicable Partner.
  • Partner terms, privacy policies, acceptable use rules, risk disclosures, fees, and compliance obligations apply in addition to these Terms.
  • You agree to review Partner documentation before using Partner-enabled features.
  • Seamless Finance is not responsible for Partner outages, pricing changes, delays, compliance decisions, or operational failures.

Partner terms may change without notice from Seamless Finance. Continued use of Partner-enabled Services may constitute acceptance of updated Partner terms between you and the relevant Partner.

4. Fiat, Stablecoin, and Payment Service Providers

Depending on currency, jurisdiction, corridor, and transaction flow (including crypto-to-fiat, fiat-to-crypto, stablecoin settlement, treasury routing, card issuance, and wallet infrastructure), the Services may integrate with one or more third-party providers ("Partners").

By using Partner-enabled Services, you acknowledge that additional Partner terms, policies, disclosures, and compliance obligations may apply.

Users are responsible for reviewing the latest applicable Partner legal documentation before using Partner-enabled features.

Additional providers may be added or removed at any time without notice.

5. Cross-Chain Swaps and Aggregation

Token swaps, bridge transfers, liquidity routing, and cross-chain settlement may be facilitated through third-party routing and liquidity providers.

You acknowledge and accept that:

  • Smart contracts and bridge protocols may fail.
  • Slippage and pricing fluctuations may occur.
  • Settlement timing is not guaranteed.
  • Blockchain confirmations may be delayed.
  • Liquidity availability may change.
  • Third-party routing providers operate independently of Seamless Finance.

Seamless Finance does not guarantee successful execution, pricing, liquidity availability, or settlement timing for cross-chain transactions.

6. Wallets, Custody, and Keys

Non-custodial and Partner-issued wallet models may be offered.

Unless expressly stated otherwise in a written agreement:

  • Seamless Finance and its Partners do not take custody of your private keys in a manner creating a traditional custodial account.
  • You remain solely responsible for wallet security, backups, seed phrases, device access, and blockchain address accuracy.
  • Blockchain transfers may be irreversible.
  • Loss of private keys or transfers to incorrect addresses may result in permanent loss of assets.

You acknowledge the risks associated with blockchain systems, including:

  • Smart contract vulnerabilities
  • Validator failures
  • Stablecoin depegging
  • Protocol exploits
  • Cybersecurity incidents
  • Network congestion
  • Gas fee volatility
  • Forks and consensus failures

7. Identity, KYB/KYC, and Compliance

Seamless Finance and its Partners may require:

  • Know Your Business ("KYB") verification
  • Know Your Customer ("KYC") verification
  • Sanctions screening
  • Transaction monitoring
  • Source-of-funds verification
  • Enhanced due diligence ("EDD")
  • Fraud reviews and risk assessments

You agree to:

  • Provide accurate and complete information
  • Cooperate with compliance reviews
  • Submit requested documentation promptly
  • Notify us of material changes to your ownership or operations

Verification and compliance tooling may be supplied by approved vendors, and their terms and privacy policies may apply.

We or our Partners may delay, reject, freeze, suspend, block, or terminate transactions or Accounts where compliance, fraud, legal, sanctions, or operational concerns arise.

8. Transactions, Orders, and Settlement

You may place Orders or initiate transactions through the Services, including:

  • Stablecoin payments
  • Fiat payouts
  • Treasury transfers
  • Wallet settlements
  • Swaps
  • Cross-chain transfers
  • Merchant invoice payments

You acknowledge that:

  • Blockchain transactions may be irreversible.
  • Settlement timing is not guaranteed.
  • Quotes and rates may change before settlement.
  • Delays may occur due to compliance reviews, banking systems, liquidity conditions, or blockchain congestion.
  • Incorrect transaction details may result in failed or lost transfers.

You are solely responsible for the accuracy of transaction details, including blockchain addresses, banking information, and payout instructions.

9. Fees, FX, and Taxes

Fees may include:

  • Seamless platform fees
  • Network and gas fees
  • Liquidity provider fees
  • Banking fees
  • FX spreads
  • Card processing fees
  • Swap fees
  • Pass-through Partner costs

Quotes and exchange rates may be estimates only.

Final settlement amounts may differ due to:

  • Market volatility
  • Slippage
  • Liquidity fluctuations
  • Banking delays
  • Blockchain congestion
  • Partner pricing adjustments

You are solely responsible for determining and paying all applicable taxes, duties, reporting obligations, and regulatory filings in your jurisdictions.

10. Data Protection and Privacy

Processing of personal and business data may occur on Seamless Finance systems and Partner systems.

Information may be shared with:

  • Payment processors
  • Banking providers
  • Compliance vendors
  • Verification providers
  • Blockchain analytics providers
  • Fraud prevention vendors
  • Infrastructure and settlement Partners

for purposes including:

  • Transaction processing
  • Compliance reviews
  • Fraud prevention
  • Risk management
  • Regulatory reporting
  • Operational support

Partner privacy policies and legal notices may apply when you interact with Partner-operated flows or features.

You are responsible for configuring and using the Services in compliance with your own privacy and data protection obligations.

11. Prohibited Activities

You may not use the Services for:

  • Money laundering
  • Terrorist financing
  • Fraudulent activity
  • Sanctions evasion
  • Illegal gambling
  • Unauthorized securities activity
  • Exploitation of system vulnerabilities
  • Unauthorized access attempts
  • Malware distribution
  • Deceptive conduct
  • Misrepresentation of identity or transaction purpose
  • Circumvention of compliance controls

We may suspend or terminate access to the Services for violations of these Terms or applicable laws.

12. Intellectual Property

All content, software, APIs, documentation, trademarks, branding, designs, technology, and platform materials are owned by or licensed to Seamless Finance.

Except as expressly permitted:

  • You may not copy, reproduce, distribute, reverse engineer, or modify the Services.
  • No ownership rights are transferred to you.
  • All rights not expressly granted are reserved.

13. Disclaimers and Risk

Digital assets and blockchain systems involve substantial risk, including:

  • Volatility
  • Smart contract failure
  • Regulatory change
  • Stablecoin depegging
  • Liquidity shortages
  • Protocol exploits
  • Banking disruptions
  • Operational outages
  • Cybersecurity incidents
  • Settlement delays

Fiat payouts and settlements depend on banking systems and Partner operations.

The Services and integrations are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

To the maximum extent permitted by law, Seamless Finance disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, and error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, Seamless Finance shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Loss of digital assets
  • Trading losses
  • Business interruption
  • Data loss
  • Delayed settlements
  • Partner failures
  • Banking outages
  • Blockchain failures
  • Smart contract exploits
  • Regulatory actions
  • Network congestion
  • Third-party service interruptions

Where permitted by law, liability is limited to direct damages and the fees paid by you to Seamless Finance during the twelve (12) months preceding the claim.

Certain jurisdictions may not allow certain liability limitations, so portions of this section may not apply.

15. Suspension and Termination

We may suspend, restrict, or terminate access to the Services at any time due to:

  • Violations of these Terms
  • Compliance concerns
  • Fraud or security risks
  • Regulatory obligations
  • Partner requests
  • Operational risks
  • Sanctions concerns

Termination does not relieve either party of obligations accrued before termination.

Outstanding obligations, fees, or liabilities survive termination.

16. Force Majeure

Seamless Finance shall not be liable for delays, interruptions, or failures caused by events beyond reasonable control, including:

  • Blockchain outages
  • Banking disruptions
  • Cyberattacks
  • Internet failures
  • Regulatory actions
  • Sanctions events
  • Natural disasters
  • Infrastructure failures
  • War or civil unrest
  • Labor disputes
  • Liquidity shortages

17. Changes to These Terms

We may update or modify these Terms at any time.

Material changes may require renewed acceptance through the platform, dashboard, or application interface.

Continued use of the Services after updates become effective may constitute acceptance of the revised Terms.

Archived versions may be retained for compliance and recordkeeping purposes.

18. Additional Partner Integrations

Your deployment may enable additional treasury, card, regional payout, wallet, or infrastructure Partners.

Users are responsible for reviewing and complying with all applicable Partner documentation before using Partner-enabled features.
